Service Engagement

A formal engagement begins only when:

• • A written scope of work is agreed upon by both parties
• • Payment terms are confirmed in writing
• • A signed contract (if applicable) has been executed

Minimum Project Size

Vanguard has a minimum engagement threshold. Diagnostics start at £500. Sprint packages start at £2,500 (or USD equivalent). We do not accept projects below this threshold.

8. Confidentiality

During any engagement, Vanguard and the client agree to maintain the confidentiality of sensitive business information shared during the relationship. This does not include information that is:

• • Publicly available or becomes publicly available through no fault of us
• • Required to be disclosed by law, regulation, or court order (we will notify you of such requirement where permitted)
• • Already known to the receiving party prior to disclosure

9. Payment Terms

Payment terms are specified in each engagement letter or service agreement. Unless otherwise agreed:

• • Invoices are due within 30 days of issuance
• • Late payments may incur interest at 8% per annum above the Bank Rate
• • Vanguard may suspend services if payment is 14+ days overdue

10. Indemnification

You agree to indemnify and hold harmless Vanguard from any claims, damages, losses, or expenses (including legal fees) arising from:

• • Your breach of these Terms of Service
• • Your misuse of the Website or services
• • Your violation of any third-party intellectual property or privacy rights
• • Any content you submit or provide to us

11. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any legal action or proceeding relating to these terms shall be exclusively subject to the jurisdiction of the courts of England and Wales.
